Terms of Service

We sell certain UHOME FURNITURE branded furniture (“Products”) through the Website.
As we do not own or operate physical retail showrooms, we have built a platform that allows potential customers to view Products in the homes of customers who have already purchased them.
Our Services help facilitate scheduling showroom visits (“Showroom Appointments”) between users who have purchased Products and agree to showcase them at their residence (“Property”) (“Homeowners”) and users who wish to schedule a time to visit the Homeowner’s Property to view and evaluate Products (“Visitors”).
Homeowners and Visitors arrange Showroom Appointments directly through the platform.
If a Visitor wishes to purchase a Product, they may also complete the purchase through the Services.
UHOME FURNITURE is not the owner or operator of any Property, and our responsibility is limited to providing the Services support as described in this Agreement.
Homeowners are not employees, partners, representatives, agents, joint venturers, or franchisees of UHOME FURNITURE.
UHOME FURNITURE does not undertake any obligations related to Showroom Appointments, nor does it employ Homeowners to perform such obligations.
Users hereby acknowledge that UHOME FURNITURE does not supervise, direct, control, or monitor Homeowners’ Showroom Appointment activities.
The relationship between Homeowners and UHOME FURNITURE is that of independent contractors.
Please note that, as stated above, the Services are designed to facilitate direct communication between Homeowners and Visitors.
UHOME FURNITURE cannot and will not control the condition, legality, safety, or suitability of any Homeowner, Visitor, Property, or Product.
UHOME FURNITURE shall not be liable for any Showroom Appointments, Properties, or Products, and hereby expressly disclaims all liability in connection therewith.
Accordingly, you engage in or accept any Showroom Appointments at your own risk.

This Website and/or the Services, and the information and content available on the Website and Services (collectively, “UHOME FURNITURE Assets”), are protected by copyright laws worldwide.
Subject to these Terms, UHOME FURNITURE grants you a non‑transferable, non‑exclusive, revocable, limited license solely to:
(a) use and access this Website for your personal use;
(b) access and use the content and information made available by UHOME FURNITURE on the Website for personal use.
The rights granted to you under this Agreement are subject to the following restrictions:
(a) You may not license, sell, rent, lease, transfer, sublicense, reproduce, distribute, host, or otherwise commercially exploit the UHOME FURNITURE Assets or any portion thereof (including this Website);
(b) You may not frame any trademarks, logos, or other UHOME FURNITURE Assets (including images, text, page layout, or forms) of UHOME FURNITURE;
(c) You may not use any meta tags or other “hidden text” utilizing UHOME FURNITURE’s name or trademarks;
(d) You may not modify, translate, adapt, merge, create derivative works of, decompile, disassemble, reverse compile, or reverse engineer any portion of the UHOME FURNITURE Assets, unless expressly prohibited by applicable law;
(e) You may not use any manual or automatic software, device, or other process (including but not limited to crawlers, robots, scrapers, data mining tools, etc.) to “scrape” or download data from any page of the Website (except for public search engine providers, to whom we grant a revocable license to use crawlers to copy materials from the Website solely for creating publicly available searchable indices, but not to cache or archive such materials);
(f) You may not access the UHOME FURNITURE Assets to build a similar or competitive website, application, or service;
(g) Except as expressly stated in this Agreement, no part of the UHOME FURNITURE Assets may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means;
(h) You may not remove or destroy any copyright notices or other proprietary markings contained on or in the UHOME FURNITURE Assets.
Any future versions, updates, or additional features of the UHOME FURNITURE Assets shall be subject to these Terms.
UHOME FURNITURE and its suppliers and service providers reserve all rights not expressly granted in these Terms.
Any unauthorized use of the UHOME FURNITURE Assets shall immediately terminate the license granted by UHOME FURNITURE under these Terms.

As part of the UHOME FURNITURE Assets, you may access materials hosted by third parties.
You agree that UHOME FURNITURE has no control over such materials, and you access such materials at your own risk.

Account Registration

To access certain features of the UHOME FURNITURE Assets (including for Homeowners to create space profiles), you may need to register for an account.
By registering for an account through the Services, you agree:

1. To provide true, accurate, current, and complete information as prompted by the registration form;
2. To maintain and promptly update registration data to keep it true, accurate, current, and complete.

You represent that you are at least 18 years old, of legal age to form a binding contract, and not a person barred from using the UHOME FURNITURE Assets under the laws of the United States, your country of residence, or any applicable jurisdiction.
You are responsible for all activities that occur under your account.
If you provide any information that is untrue, inaccurate, not current, or incomplete, or UHOME FURNITURE has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, UHOME FURNITURE reserves the right to suspend or terminate your account and refuse any and all current or future use of the UHOME FURNITURE Assets (or any portion thereof).

Required Equipment and Software

You must provide all equipment and software necessary to connect to the UHOME FURNITURE Assets, including but not limited to a mobile device that is suitable for connecting to and using the UHOME FURNITURE Assets.
You are solely responsible for all fees incurred in accessing the UHOME FURNITURE Assets, including internet or mobile data charges.

Types of Content

You acknowledge that all content (including the UHOME FURNITURE Assets) is the sole responsibility of the person from whom such content originated.
This means that you, and not UHOME FURNITURE, are entirely responsible for all content (“Your Content”) and service‑related data (“Data”) that you upload, post, email, transmit, or otherwise make available (“make available”) via the UHOME FURNITURE Assets.
You and other users of the UHOME FURNITURE Assets (and not UHOME FURNITURE) are also responsible for all content (“User Content”) they make available via the UHOME FURNITURE Assets.
UHOME FURNITURE’s use of Data is governed by our Privacy Policy, located at www.uhomefurniture.shop/privacy.

No Obligation to Pre‑Screen

You acknowledge that UHOME FURNITURE has no obligation to pre‑screen content (including but not limited to User Content), although UHOME FURNITURE reserves the right, in its sole discretion, to pre‑screen, refuse, or remove any content.
By accepting these Terms, you irrevocably consent to such monitoring.
You acknowledge and agree that you have no expectation of privacy with regard to any transmission of Your Content (including but not limited to chat, text, or voice communications).
If UHOME FURNITURE does pre‑screen, refuse, or remove any content, you acknowledge that UHOME FURNITURE does so for its own benefit and not for yours.
Without limiting the foregoing, UHOME FURNITURE reserves the right to remove any content that violates this Agreement or is otherwise inappropriate.

Storage

UHOME FURNITURE has no obligation to store any of Your Content that you make available on the UHOME FURNITURE Assets, unless UHOME FURNITURE has expressly agreed otherwise in writing.
UHOME FURNITURE shall not be responsible or liable for the deletion, accuracy, storage, transmission, or failure to store any content (including Your Content), or the security, privacy, storage, or transmission of any other communications.
Certain Services may allow you to set access permission levels for Your Content.
You are solely responsible for setting appropriate access permissions for Your Content.
If you do not make a selection, the system may default to the most permissive settings.
You agree that UHOME FURNITURE reserves the right to set reasonable limits on the use and storage of Company Content (including Your Content), such as file size, storage space, processing capacity, and other limits, as posted on the Website or determined by UHOME FURNITURE in its sole discretion.

Creating Listings

To enable UHOME FURNITURE to create a space profile for you as a Homeowner, you will be required to submit various information about your Property and/or Products, including but not limited to your name, profile picture, Property location, Property description, parking restrictions, Product descriptions, and times when Showroom Appointments are available.
To become a Homeowner through the Services, your Property must have a valid physical address.Listings will be publicly visible through the Website and Services.
You understand and agree that the ordering and ranking of Listings in search results may depend on a variety of factors, including but not limited to user preferences, ratings, and ease of booking.

Showroom Appointments

Any user may browse and/or book available Showroom Appointment times at your Property through the Website and Services, based on the content you provide in your Listing, your requirements for Visitors, and the Visitor’s search parameters and preferences.
After booking a Showroom Appointment, each Visitor represents that they will provide true and accurate information (including name and email address) at the time of booking, and that the Visitor is at least 18 years old and not a person barred from using the UHOME FURNITURE Assets under the laws of the United States, the Visitor’s country of residence, or any applicable jurisdiction.

Listing Rules

You acknowledge and agree that you are solely responsible for all Listings and content you post.
Accordingly, you represent and warrant that:
Any Listing or booking you post:
(i) does not violate any agreement you have with any third party (including homeowners association, condominium, or other third‑party agreements);
(ii) (a) complies with all applicable laws, tax requirements, intellectual property laws, and rules (federal, state, or local) (including parking regulations) applicable to your Property and/or Products; and (b) does not infringe the rights of any third party.
Please note that UHOME FURNITURE is not responsible for Homeowners’ compliance with agreements with third parties or applicable laws and regulations.
UHOME FURNITURE reserves the right to remove or disable any Listing at any time without prior notice, including Listings that we determine in our sole discretion are inappropriate, violate this Agreement, or are harmful to the Website, Services, or other users.

Agreements Between Visitors and Homeowners

If you are a Homeowner, you understand and agree that UHOME FURNITURE is not acting as an insurer or your contractual agent.
Any agreement you enter into with a Visitor who requests to visit your Property is solely between you and the Visitor, and UHOME FURNITURE is not a party to such agreement.

Third‑Party Liability

You acknowledge and agree that, as a Homeowner, you are responsible for your acts and omissions, and for the acts and omissions of any persons you request or invite to be present at the Property or during the Showroom Appointment (excluding Visitors and persons invited by Visitors).

Insurance

UHOME FURNITURE recommends that Homeowners obtain appropriate insurance coverage for activities that may occur during Showroom Appointments.
Please carefully review any insurance policies you hold, and in particular ensure you are familiar with and understand any exclusions and deductibles that may apply, including but not limited to whether your policy covers the acts or omissions of Visitors (and persons invited by Visitors) at your Property or during visits.

UHOME FURNITURE Assets

Other than Your Content and User Content, you agree that UHOME FURNITURE and its suppliers own all rights, title, and interest in and to the UHOME FURNITURE Assets.
You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary notices contained in or on the Website, Services, or UHOME FURNITURE Assets.

Trademarks

“UHOME FURNITURE” and other related graphics, logos, service marks, and product names are trademarks of UHOME FURNITURE and may not be used in connection with third‑party products or services without permission.
Other trademarks, service marks, and product names that may appear on the UHOME FURNITURE Assets are the property of their respective owners.

Other Content

Other than Your Content, you agree that you have no rights to any content that appears on the UHOME FURNITURE Assets.
UHOME FURNITURE prohibits and does not recognize any transfer of virtual property outside of the Services, or any sale, rental, gift, or trade of any content in the Services in the “real world.”

Your Content

UHOME FURNITURE claims no ownership over Your Content.
However, when you post or publish Your Content on the UHOME FURNITURE Assets, you represent that you own and/or hold a royalty‑free, perpetual, irrevocable, worldwide, non‑exclusive right (including moral rights) and license to use, license, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, derive revenue or other remuneration from, and to communicate, perform, and display Your Content (in whole or in part) to the public, and/or to incorporate it into any form, media, or technology now known or later developed, for the full term of any intellectual property rights in Your Content worldwide.
You grant the Company a fully paid‑up, royalty‑free, perpetual, irrevocable, worldwide, non‑exclusive, and sublicenseable right (including moral rights) and license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display (including across all social media platforms) Your Content (in whole or in part) for the purpose of operating and providing the UHOME FURNITURE Assets to you and to other users.
Please note that other users may search, view, use, modify, and reproduce any of Your Content you submit to public areas of the UHOME FURNITURE Assets.
You warrant that all holders of any worldwide intellectual property rights (including moral rights) in Your Content have fully and effectively waived all such rights and have lawfully and irrevocably authorized you to grant the licenses set forth above.
You agree that you, and not UHOME FURNITURE, are responsible for all of Your Content you make available on the UHOME FURNITURE Assets.

Account

Notwithstanding anything to the contrary in this Agreement, by submitting Your Content to any forums, comments, or other areas of the UHOME FURNITURE Assets, you acknowledge and agree that you shall have no ownership or other property interest in your account, and you further acknowledge and agree that all rights in and to your account are and shall forever be owned by and inure to the benefit of UHOME FURNITURE.

Feedback

You agree that any ideas, suggestions, documentation, and/or proposals (“Feedback”) you submit to UHOME FURNITURE through suggestions, feedback, wiki, forum, or similar pages are provided at your own risk, and UHOME FURNITURE has no obligation (including no obligation of confidentiality) with respect to such Feedback.
You represent and warrant that you have all rights necessary to submit the Feedback.
You hereby grant UHOME FURNITURE a fully paid‑up, royalty‑free, perpetual, irrevocable, worldwide, non‑exclusive, and sublicenseable right and license to use, reproduce, perform, display, distribute, adapt, modify, reformat, create derivative works from, and otherwise commercialize or non‑commercially exploit any and all Feedback in any way, for the purpose of operating and maintaining the UHOME FURNITURE Assets, and to sublicense the foregoing rights.

Prohibited Activities

You agree that you will not, under any circumstances:

• Use cheat programs, exploits, automated software, robots, bots, hacks, mods, or any other unauthorized software designed to modify or interfere with any UHOME FURNITURE Assets;
• Interfere with or disrupt the UHOME FURNITURE Assets, including but not limited to using viruses, cancel bots, Trojan horses, harmful code, flood attacks, denial‑of‑service attacks, packet or IP spoofing, forged routing or email address information, or similar methods or technologies;
• Modify or cause modification to any files that are part of the UHOME FURNITURE Assets;
• Disrupt, overload, or assist in disrupting or overloading: (i) any computer or server used to provide or support the UHOME FURNITURE Assets; or (ii) any other person’s use of the UHOME FURNITURE Assets;
• Launch, assist, or participate in any kind of attack, including but not limited to spreading viruses, conducting a denial‑of‑service attack on the UHOME FURNITURE Assets, or otherwise attempting to disrupt the UHOME FURNITURE Assets or any other person’s use of the UHOME FURNITURE Assets;
• Attempt to gain unauthorized access to the UHOME FURNITURE Assets or to computers, servers, or networks connected to the UHOME FURNITURE Assets, including but not limited to circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting others to circumvent or modify any security, technology, device, or software that is part of the UHOME FURNITURE Assets;
• Access, tamper with, or use non‑public areas of the UHOME FURNITURE Assets, UHOME FURNITURE’s computer systems, or the technical delivery systems of UHOME FURNITURE’s suppliers;
• Attempt to probe, scan, or test the vulnerability of any corporate system or network, or breach any security or authentication measures;
• Disturb or interfere with the security of, or otherwise cause harm to, the UHOME FURNITURE Assets, systems, resources, servers, or networks;
• Avoid, bypass, remove, deactivate, impair, decrypt, or otherwise circumvent any technological measures implemented by UHOME FURNITURE or its suppliers or any third party (including other users) to protect the UHOME FURNITURE Assets;
• Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
• Engage in any chain letters, contests, junk email, pyramid schemes, mass surveys, or other repetitive or unsolicited messaging (commercial or otherwise).

General Rules

When using the UHOME FURNITURE Assets, you may not:

• Provide content that: (i) is illegal, infringing, defamatory, vulgar, obscene, libelous, or racially, ethnically, or otherwise objectionable; (ii) violates or encourages conduct that violates any applicable laws or regulations or gives rise to civil liability; (iii) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any person; (v) promotes illegal or harmful activities;
• Harm minors in any way;
• Impersonate any person or entity, including but not limited to UHOME FURNITURE employees, or falsely state or misrepresent your affiliation with any person or entity;
• Provide content that you do not have the right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
• Provide content that infringes the rights of any person or entity, including but not limited to any patent, trademark, trade secret, copyright, privacy, publicity, or other proprietary or contractual rights;
• Intentionally or unintentionally violate any applicable local, state, national, or international law, regulation, or court order;
• Stalk or harass other users of the UHOME FURNITURE Assets;
• Advocate, encourage, or assist third parties to do anything prohibited in this Section.

Ratings and Reviews

The Services may allow users to post reviews, ratings, and opinions about Homeowners and Visitors (collectively, “Reviews”), and you are solely responsible for all content, views, statements, recommendations, and claims contained therein.
Reviews posted through the Services are User Content, are not endorsed by UHOME FURNITURE, and do not represent the views of UHOME FURNITURE.
You acknowledge that any views, statements, recommendations, ratings, offers, advice, or other information presented or disseminated in any Review are provided by the author, who is solely responsible for such content.
UHOME FURNITURE reserves the right, but not the obligation, to monitor or review any Reviews at any time.
UHOME FURNITURE reserves the right to refuse to post or remove any submitted or posted material.
Notwithstanding the foregoing, you acknowledge that UHOME FURNITURE has no obligation to edit or modify any information in Reviews or to resolve any disputes or disagreements between posters, and UHOME FURNITURE shall not be liable to you for any content in any Reviews.
UHOME FURNITURE shall not be liable for any claims for economic loss related to Reviews or resulting from such ratings and Reviews.
We expect users to maintain a high level of integrity when posting ratings and Reviews through the Services, and you therefore agree:
(i) any rating or Review you post is based solely on your firsthand experience with the relevant Homeowner or Visitor;
(ii) you will not provide ratings or Reviews for Visitors or Homeowners with whom you have an employment or other affiliation;
(iii) you will not submit ratings or Reviews in exchange for payment or other benefits from any person or entity;
(iv) your Reviews comply with the terms of this Agreement.
UHOME FURNITURE may remove such User Content without notice if UHOME FURNITURE determines in its sole discretion that any rating or Review may compromise the integrity of ratings and Reviews.

Investigations

UHOME FURNITURE may (but is not obligated to) monitor or review the UHOME FURNITURE Assets and content at any time.
Without limiting the foregoing, UHOME FURNITURE reserves the right, in its sole discretion, to remove any of your content for any reason (or no reason), including if such content violates these Terms or any applicable laws.
Although UHOME FURNITURE generally does not monitor user activity on the UHOME FURNITURE Assets or content, if UHOME FURNITURE becomes aware that you may be violating any provision of these Terms, UHOME FURNITURE reserves the right to investigate such violations, and UHOME FURNITURE may, in its sole discretion, immediately terminate your license to use the UHOME FURNITURE Assets, or change, modify, or remove your content in whole or in part without prior notice.

You are solely responsible for your interactions with other users and any other related parties;however, UHOME FURNITURE reserves the right (but not the obligation) to intervene in such disputes.You agree that UHOME FURNITURE shall not be liable for any liability arising from such interactions.
You understand that UHOME FURNITURE does not currently conduct criminal background checks on users.UHOME FURNITURE also does not investigate the backgrounds of registered users or attempt to verify statements made by registered users.
UHOME FURNITURE makes no representations or warranties as to the conduct of registered users or their compatibility with any current or future registered users.
UHOME FURNITURE reserves the right to conduct any criminal background check or other screening (such as sex offender registry checks) at any time using publicly available records.

Content Provided by Other Users

The UHOME FURNITURE Assets may contain User Content (including Listings) provided by other users.UHOME FURNITURE is not responsible for User Content and does not control User Content.
UHOME FURNITURE has no obligation to review or monitor, and does not approve, endorse, or make any representations or warranties with respect to User Content.
You use all User Content and interact with other users at your own risk.

Third‑Party Websites, Applications, and Advertisements

The UHOME FURNITURE Assets may contain links to third‑party websites (“Third‑Party Websites”), applications (“Third‑Party Applications”), and third‑party advertisements (“Third‑Party Advertisements”).
When you click on a link to a Third‑Party Website, Third‑Party Application, or Third‑Party Advertisement, we will not alert you that you have left the UHOME FURNITURE Assets and are subject to the terms (including privacy policies) of another website or destination.
Such Third‑Party Websites, Third‑Party Applications, and Third‑Party Advertisements are not under the control of UHOME FURNITURE.
UHOME FURNITURE is not responsible for any Third‑Party Websites, Third‑Party Applications, or Third‑Party Advertisements.

Once you leave this Website, these Terms and policies no longer apply.
You should review the applicable terms and policies (including privacy and data collection practices) of any Third‑Party Website or Third‑Party Application, and conduct any necessary and appropriate investigations before engaging in any transaction with a third party.
For example, UHOME FURNITURE uses Calendly to assist with scheduling Showroom Appointments.When you book a Showroom Appointment, you are subject to Calendly’s Privacy Policy and Terms of Use.

Product Pricing and Fees

As part of the Services, we sell Products on the Website.
If you wish to purchase any Products, you will be required to provide certain information related to the purchase, including payment, billing, contact, and other information.
Such information will be processed as described in the Privacy Policy.
All information you provide to us or third‑party payment processors must be true, accurate, current, and complete.

You represent and warrant that you have the legal right to use any credit card or other payment method you use to initiate any transaction.
You agree to pay all fees incurred by you or users of your account and credit card (or other applicable payment method) at the prices in effect when such fees are incurred.
You are also responsible for all applicable taxes related to your purchases.
Verification of purchase‑related information may be required before any order is accepted.
The price of any product or service is the price displayed on the order page at the time you place your order.
We use our best efforts to ensure that the prices and payment terms offered to you are accurate.
However, despite our efforts, pricing errors may occur on some Products.
If you or we discover that the correct price on the day you place your order is lower than the price we displayed, we will charge you the lower price.

Payment and Payment Disputes

You agree to pay all fees incurred by you or users of your account and payment card (or other applicable payment method) at the amounts in effect when such fees are incurred.
Customers must provide a valid credit or debit card (Visa, MasterCard, or other accepted issuer) or use Apple Pay or other payment or financial instruments designated by UHOME FURNITURE (“Payment Providers”) as a condition of making any payment.

All information you provide to us or Payment Providers must be true, accurate, current, and complete.
You are also responsible for all applicable taxes related to payments you make or receive.
If you object to any charges on your credit card bill, you must notify us in writing within seven (7) days of receiving the bill, or such objection shall be deemed waived.

Shipping

UHOME FURNITURE currently ships Products only to addresses within the 48 contiguous United States.After placing an order, we will send an email to the email address you provided at checkout to confirm the address.
Your submission of an order through the Website constitutes an offer to purchase the ordered Products, and we may accept your offer by processing your payment and shipping the Products.
Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of an offer to sell.
We may refuse to accept your order or any part of your order for any reason.
An order is not deemed accepted by UHOME FURNITURE until the Products are shipped.
If any portion of your order is temporarily out of stock, we will ship only the in‑stock items and notify you of the unfulfilled items.
If we refuse to accept your order, we will attempt to notify you using the email address you provided.
We further reserve the right to supply less than the quantity you ordered at any time without prior notice after receiving your order.

We want you to be satisfied with Products you purchase from us.
If you are not completely satisfied, you may email support@uhomefurniture.shop at any time with any questions or concerns, and/or refer to the official website return policy to request a return.

Homeowner Payment Terms

If you are a Homeowner and a Showroom Appointment is scheduled, we will send you a message confirming the Showroom Appointment.
UHOME FURNITURE will pay Homeowners a fee of $20 for each confirmed and attended Showroom Appointment.
Such Homeowner fees are subject to change at any time, so please be sure to review the current fees.
We may run promotional incentive programs from time to time that provide Homeowners with opportunities to increase Homeowner fees.
Additional terms may apply to such programs, which will be announced to you during the promotional incentive period.
All payments due under this Agreement will be made weekly for all Showroom Appointments occurring during that week, within seven (7) days after the end of the applicable week.

The Homeowner (and not UHOME FURNITURE) is solely responsible for fulfilling Showroom Appointments and providing the Products and Property booked through the Services.
You acknowledge and agree that you, and not UHOME FURNITURE, are responsible for performing the obligations required for Showroom Appointments, and that UHOME FURNITURE is relieved of all liability arising out of or related to any such Showroom Appointments, except for UHOME FURNITURE’s payment obligations.
Homeowners and Visitors may cancel Showroom Appointments at their discretion; however, Homeowners will not receive a Homeowner fee if a Homeowner or Visitor cancels an appointment.

Homeowner Conditions

When using your Products and Property for Showroom Appointments, you agree to comply with our Listing Rules and that:

• You are responsible for the accuracy and content of Listings (including Property and/or Product descriptions);
• Your Listing may not be immediately searchable by keyword or category for several hours (or up to 24 hours in some cases);
• We are committed to creating a platform where Visitors can find the Products they want, so the display or ordering of Listings in search and browse results depends on a variety of factors, including but not limited to:
  Visitor location, search query, Website browsing, and history;
  Property location, Listing format, available booking times, history, and relevance to user queries;
  Homeowner history, Homeowner ratings, reviews, and feedback;
  Number of Listings matching the Visitor’s query.

To improve the user experience, some Listings may not appear in certain search and browse results regardless of the sort order chosen by the Visitor.

You agree to indemnify, defend, and hold harmless UHOME FURNITURE and its parent, subsidiaries, affiliates, officers, employees, agents, partners, and licensors (collectively, the “UHOME FURNITURE Parties”) from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of:
(a) Your Content;
(b) your use or inability to use the UHOME FURNITURE Assets;
(c) your breach of these Terms;
(d) your infringement of the rights of any third party (including any user);
(e) your interactions with other users;
(f) your violation of any applicable laws or regulations.

UHOME FURNITURE reserves the right, at its own cost, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with UHOME FURNITURE in asserting any available defenses.
This Section does not require you to indemnify any UHOME FURNITURE Party for any unconscionable commercial practice by such party or for fraud, deception, false promises, false representations, or concealment, suppression, or omission of any material fact.
You agree that the provisions of this Section shall survive the termination of your account, these Terms, or your access to the UHOME FURNITURE Assets.

AS‑IS PROVIDISION

You expressly understand and agree that, to the fullest extent permitted by applicable law, your use of the UHOME FURNITURE Assets is at your sole risk, and the UHOME FURNITURE Assets are provided on an “AS‑IS” and “AS AVAILABLE” basis, without any express or implied warranties or conditions.
UHOME FURNITURE expressly disclaims all warranties, representations, and conditions of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

UHOME FURNITURE makes no warranty, representation, or condition that:
(1) the UHOME FURNITURE Assets will meet your requirements;
(2) your use of the UHOME FURNITURE Assets will be uninterrupted, timely, secure, or error‑free;
(3) the results that may be obtained from the use of the UHOME FURNITURE Assets will be accurate or reliable.

Any Showroom Appointment booked through the Services, or any content downloaded or otherwise accessed from the UHOME FURNITURE Assets, is at your own risk, and you will be solely responsible for any damage to your person or property (including but not limited to your computer system and any device used to access the UHOME FURNITURE Assets) or any other loss resulting therefrom.

The Services may be subject to delays, cancellations, and other disruptions.
The Company makes no warranties, representations, or conditions regarding the Services (including but not limited to quality, effectiveness, reputation, and other characteristics).
No oral advice or written information obtained from UHOME FURNITURE or through the UHOME FURNITURE Assets shall create any warranty not expressly stated in this Agreement.

UHOME FURNITURE may make new “beta” features or tools available to users from time to time.
Such features or tools are for experimental purposes only, without warranties of any kind, and the Company may modify or discontinue them in its sole discretion.
This Section applies fully to such features or tools.

Third‑Party Conduct Disclaimer

You acknowledge and agree that the UHOME FURNITURE Parties shall not be liable for the conduct of third parties, and you agree not to hold UHOME FURNITURE responsible for the conduct of third parties such as external website operators, and you bear the entire risk of financial loss resulting from such third‑party conduct.
UHOME FURNITURE does not warrant that products or services provided by third parties will meet your requirements or be uninterrupted, secure, or error‑free.
UHOME FURNITURE makes no warranty regarding the quality of such products or services, or the accuracy, timeliness, truthfulness, completeness, or reliability of any User Content obtained through the Company Assets.

Other User Conduct Disclaimer

When interacting with other users, you should exercise caution and common sense to protect your personal safety, data, and property, just as you would when interacting with strangers.
UHOME FURNITURE is not responsible for any false or misleading statements made by users of the Services.
You are solely responsible for all communications and interactions you have with other users of the UHOME FURNITURE Assets.
You understand that UHOME FURNITURE has not attempted to verify statements made by users of the UHOME FURNITURE Assets.

Third‑Party Websites

The UHOME FURNITURE Assets may contain links to other websites operated by third parties (“Third‑Party Websites”).
Such Third‑Party Websites are not under our control.
UHOME FURNITURE provides such links and referrals solely as a convenience, without reviewing, approving, monitoring, endorsing, warranting, or making any representations regarding such Third‑Party Websites.
You use such Third‑Party Websites at your own risk.

Release

You hereby release UHOME FURNITURE and its successors from any claims, demands, and losses, damages, rights, and actions of any kind arising directly or indirectly from your use of the UHOME FURNITURE Assets, including personal injury, death, and property damage, including but not limited to claims related to interactions or conduct with other users or any Third‑Party Websites arising out of these Terms or your use of the UHOME FURNITURE Assets.
If you are a California resident, you hereby waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Disclaimer of Certain Damages

To the fullest extent permitted by law, you understand and agree that in no event shall UHOME FURNITURE be liable for:
loss of profits, revenue, or data, any indirect, incidental, special, punitive, or consequential damages;damages for personal injury or emotional pain and suffering arising out of the use or inability to use the UHOME FURNITURE Assets;
regardless of whether UHOME FURNITURE has been advised of the possibility of such damages.

Such damages arise from:
(1) the use or inability to use the UHOME FURNITURE Assets;
(2) the cost of procurement of substitute goods or services;
(3) unauthorized access to or alteration of your transmissions or data;
(4) statements or conduct of any third party on the UHOME FURNITURE Assets;
(5) any other matter related to the UHOME FURNITURE Assets, whether based on warranty, copyright, contract, tort (including negligence), or any other legal theory.

Liability Cap

In no event shall the total liability of the UHOME FURNITURE Parties to you for any damages exceed the total amount you paid to the Company in the one full month prior to the act, omission, or event giving rise to liability.
The foregoing liability cap shall not apply to:
(a) death or personal injury caused by the negligence of a Company Party;
(b) any harm caused by fraud or fraudulent misrepresentation of a Company Party.

User Content

Except for UHOME FURNITURE’s obligation to protect your personal data as set forth in the Company Privacy Policy, UHOME FURNITURE shall not be liable for any failure to timely deliver, delete, misdirect, or store any content (including but not limited to Your Content and User Content), user communications, or personal settings.

Basis of the Bargain

The damage limitations set forth above are fundamental elements of the basis of the bargain between the Company and you.
The foregoing limitations shall apply to the fullest extent permitted by law.

Termination of Services

This Agreement remains in effect until your account is terminated in accordance with this Agreement.
You may delete your account at any time for any reason by emailing support@uhomefurniture.shop.
UHOME FURNITURE may terminate your account if:
(a) you breach this Agreement;
(b) UHOME FURNITURE, in its sole discretion, decides to discontinue the relevant Services;
(c) for any reason or no reason, without notice to you.

You understand that any termination of this Agreement and your account may involve deletion of your account information and all information stored for that account from our live databases.
UHOME FURNITURE shall not be liable to you for any damages as a result of terminating your account or related deletion of information.

Effect of Termination

Termination of any Service includes revocation of access to that Service and prohibition of further use.
Termination of all Services also includes deletion of your password and all related information, files, and content associated with or inside your account (including Your Content).
Upon termination of any Service, your right to use such Service will immediately and automatically terminate.
You understand that any termination of Services may involve deletion of Your Content associated therewith from our live databases.
All provisions of these Terms which by their nature should survive termination (including but not limited to ownership provisions, warranty disclaimers, and limitations of liability) shall survive termination of the Services.

The UHOME FURNITURE Assets may be accessed from countries around the world and may contain references to Services and content that are not available in your country.
Such references do not imply that UHOME FURNITURE intends to make such Services and content available in your country.
The UHOME FURNITURE Assets are controlled and offered by UHOME FURNITURE in the United States.
UHOME FURNITURE makes no representation that the UHOME FURNITURE Assets are appropriate or available for use in other locations.
Users who access or use the UHOME FURNITURE Assets from other countries do so at their own volition and are responsible for compliance with local law.

PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY.
IT REQUIRES YOU TO ARBITRATE DISPUTES WITH UHOME FURNITURE AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

Scope of Arbitration Agreement

You agree that any dispute or claim relating to your access to or use of the Website, any products sold or distributed through the Website, or any aspect of your relationship with UHOME FURNITURE shall be resolved by binding arbitration, rather than in court, except that:
(1) you may bring claims in small claims court if your claims qualify, so long as the matter remains in such court and proceeds only on an individual (non‑class, non‑representative) basis;
(2) you or UHOME FURNITURE may seek injunctive relief in court for intellectual property infringement or misappropriation (such as trademark, trade dress, domain name, trade secret, copyright, patent).

This arbitration agreement applies to all claims arising or asserted prior to the effective date of this Agreement or any prior version, without limitation.

BY AGREEING TO ARBITRATE WITH UHOME FURNITURE, YOU AGREE IN ADVANCE THAT YOU WILL NOT PARTICIPATE OR SEEK TO RECOVER MONETARY OR OTHER RELIEF AS A CLASS, CLASS ACTION, AND/OR REPRESENTATIVE CLAIM IN ANY LAWSUIT AGAINST THE COMPANY.

Instead, by agreeing to arbitration, you may pursue claims against the company only in an individual arbitration proceeding. If you prevail on any claim, the arbitrator may award you relief only as authorized under applicable law. You acknowledge that you have been advised to consult legal counsel regarding your decision to accept this Agreement, including this Arbitration Agreement.

This Arbitration Agreement shall be governed by and construed under the Federal Arbitration Act.

Arbitration shall be administered by JAMS, a leading alternative dispute resolution provider. Disputes where the total amount of the claim and counterclaim is less than $250,000, exclusive of attorneys’ fees and interest, shall be resolved under the then‑current JAMS Comprehensive Arbitration Rules and Procedures. All other claims shall be resolved under the then‑current JAMS Streamlined Arbitration Rules and Procedures.

If JAMS is unable to administer the arbitration, the parties shall select an alternative arbitration provider. If the arbitrator finds that you are unable to pay the JAMS filing, administrative, or hearing fees, the Company shall pay those fees. In addition, the Company shall reimburse you for all such JAMS fees for claims totaling less than $10,000, unless the arbitrator finds the claims frivolous. Similarly, the Company shall not seek attorneys’ fees in arbitration unless the arbitrator finds the claims frivolous.

You may choose to have the arbitration conducted by telephone, based on written submissions, or in your home country or at another mutually agreed location. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

You and the Company hereby waive any constitutional or statutory right to sue in court or have a jury trial. All claims and disputes shall be resolved by arbitration under this Arbitration Agreement, except as expressly set forth in Section 18.1 above. An arbitrator may award the same damages and relief on an individual basis as a court can, but must follow these Terms. There is no judge or jury in arbitration, and court review of an arbitration award is strictly limited.

All claims and disputes within the scope of this Arbitration Agreement must be arbitrated on an individual basis and not on a class, consolidated, or representative basis. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding. If this specific paragraph is found to be unenforceable, then the entirety of Section 18 shall be null and void and the claims shall be resolved in court as set forth in Sections 19.5 and 19.6 below.

You have the right to opt out of this Arbitration Agreement within thirty (30) days of first becoming subject to this Arbitration Agreement. To opt out, you must submit a written notice including your name, address, UHOME FURNITURE username (if any), email address you used to access the Service, and a clear statement that you wish to opt out of this Arbitration Agreement. If you opt out, this Arbitration Agreement will not apply to you, and the rest of this Agreement will continue to apply. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements you may currently have or may enter into in the future with the Company.

If any part of this Arbitration Agreement is found to be illegal or unenforceable, that part shall be severed and the remainder of this Arbitration Agreement shall be given full force and effect.

This Arbitration Agreement shall survive the termination of your relationship with the Company.

Notwithstanding any provision in this Agreement to the contrary, the Company agrees that it will not make any material amendment to this Arbitration Agreement that would apply to any individual claim for which you have already provided notice to the Company.

You and the Company communicate by electronic means, whether you access the UHOME FURNITURE Assets or send emails to the Company, or whether the Company posts notices on the UHOME FURNITURE Assets or communicates with you via email. For contractual purposes:
(1) you consent to receive electronic communications from the Company;
(2) you agree that all terms, agreements, notices, disclosures, and other communications that the Company provides electronically satisfy any legal requirement that such communications would satisfy if they were in writing.
The foregoing does not affect your statutory rights.

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without the Company’s prior written consent. Any assignment or transfer in violation of this Section shall be null and void.

The Company shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of the Company, including without limitation acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

To the extent that any action arises out of or relates to these Terms and is permitted to proceed in court rather than by arbitration, you agree that such action shall be brought exclusively in the state or federal courts located in the State of California.

These Terms and any related action shall be governed by and construed in accordance with the laws of the State of California and the Federal Arbitration Act, without regard to its conflict of law principles. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

The parties expressly request that these Terms and all related documents be drafted in the English language.

Where the Company requires you to provide an email address, you are responsible for providing the Company with your most current email address. If the last email address you provided to the Company is invalid or you do not receive notice, the Company’s sending of the notice to that email address shall still constitute effective notice. You may send notices to the Company at its official address. Notices sent via a nationally recognized overnight courier or certified first‑class mail shall be deemed received on the date of delivery.

No failure by the Company to exercise or enforce any provision of these Terms shall constitute a waiver of any such provision or of the right to enforce such provision.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be reformed to reflect the parties’ original intent as nearly as possible, and the remaining provisions shall remain in full force and effect.

You may use, export, import, or transfer the UHOME FURNITURE Assets only as authorized by United States law, the laws of the jurisdiction in which you obtained the UHOME FURNITURE Assets, and any other applicable laws. In particular and without limitation:
(a) the UHOME FURNITURE Assets may not be exported or re‑exported to any U.S. embargoed country;
(b) the UHOME FURNITURE Assets may not be exported or re‑exported to anyone on the U.S. Treasury Department’s List of Specially Designated Nationals or the U.S. Commerce Department’s Denied Persons List or Entity List.

By using the UHOME FURNITURE Assets, you represent and warrant that:
(i) you are not located in a U.S. embargoed country or under control of the government of such a country;
(ii) you are not on any such prohibited government list.
You also agree not to use the UHOME FURNITURE Assets for any purpose prohibited by U.S. law, including the development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons. You acknowledge and agree that products, services, or technology provided by the Company are subject to U.S. export control laws and regulations. You shall comply with these laws and regulations and shall not, without prior U.S. government authorization, export, re‑export, or transfer any Company products, services, or technology directly or indirectly to any country in violation of such laws.

Under California Civil Code Section 1789.3, you may submit complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

These Terms constitute the final, complete, and exclusive agreement between the parties regarding the subject matter hereof and supersede all prior discussions or agreements between the parties.
